About VeruTEK Technologies:
VeruTEK Technologies, Inc. is a green chemistry company with a new, field-proven and patented approach to solving difficult environmental issues. VeruTEK’s “green” technology platform addresses soil and groundwater remediation through a controlled dissolution and desorption process that eliminates the need for costly excavation. The Company’s core technologies are also effective in enhanced oil recovery and industrial cleaning applications. VeruTEK trades on the OTC Pink exchange under the ticker symbol VTKT or VTKT.PK.
VeruTEK was incorporated in 2006, brought public in 2007 and is headquartered in Bloomfield, Connecticut. In 2009, in order to redeploy the substantial investment required to meet ongoing SEC reporting requirements, VeruTEK filed Form 15 with the SEC and “deregistered” the Company. As a result, VeruTEK is not currently required to report publicly but continues to maintain strong financial controls and reporting standards, including the preparation of audited annual financial statements. The company’s auditor is CCR LLP, which was recently acquired by Grant Thornton.
The Company does not contemplate returning to public reporting status in the near term because it feels its financial resources are better invested in business development efforts to build awareness and demand for its unique solutions. VeruTEK’s Board does contemplate moving toward a public listing in the next year or two as the Company’s cash flow and financial position enable such an investment in legal, accounting, management and investor relations requirements.
SEC Filings
Having deregistered its shares from SEC reporting in 2009 (as discussed above), VeruTEK currently does not publicly report financial results quarterly or make public filings with the SEC. However, the company does prepare financial statements which are audited by CCR LLP/Grant Thornton). Such financial information can be made available to interested investors under an industry non-disclosure agreement.
